In order to comply with several regulatory, secretarial and legal enactments, companies have to interact with many Government departments like Registrar of Companies, Software Technology Parks of India, Reserve Bank of India, Director General of Foreign Trade, Provident Fund etc.
Ø Assistance in incorporation of Company which includes obtaining the name approval, drafting of the Memorandum and Articles of Association of the Company, liaising with the Registrar of Company for obtaining the Certificate of Incorporation certificate, etc. Representing before Registrar of Companies and Company Laws Board.
Ø Advise the client on the capital structuring, debt-equity pattern and other corporate matters.
Ø Advice regarding the recurring compliances under the Companies Act such as holding of the Board meetings, convening of General Meetings, forms and documents to be filed with the Registrar of Companies, etc.
Ø Working on the Ministry of Company Affairs site “www.mca.gov.in” to update the records of company law matters of various clients according to “E-Forms” and provide facility to clients in changing scenarios.
Ø Filing of Annual Returns of corporate clients with ROC.
Ø Joint Ventures / Foreign Collaborations.
